Terms of Service
Last updated 2026-10-13
Draft. This document is being finalised with our legal advisers before the platform opens to real trading. It is published so you can see how we intend to operate.
These terms are the agreement between you and FIELD TO PORT LIMITED, a company registered in England and Wales (company number 17474840) ("we", "us", "the platform") about your use of this marketplace. They apply to growers, farming companies and buyers alike. By creating an account you agree to them. They are written to be read — if a clause is unclear, ask us and we will explain it rather than rely on it.
What we do, and what we do not do
We run a verified marketplace. Growers list what they grow and buyers say what they need: buyers find produce here, and growers reach buyers in new markets. Our trade desk verifies accounts and reviews requests.
We are NOT a party to the contract for the sale of produce. That contract is between the seller and the buyer. We do not own the produce, we do not take title to it, and we do not sell it. We introduce the parties, carry information between them, and record what is agreed.
So the seller is responsible for the produce being what it was described as, and the buyer is responsible for paying for it. Nothing here makes us liable for either.
A person or company who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them.
Who may hold an account
Accounts are for businesses and for people trading as a business. This is not a consumer service, and consumer cancellation and refund rights do not apply to it.
You must be able to enter a binding contract, and you must be authorised to act for the business you register.
One account per person or company. A phone number or an email address identifies one account and cannot be shared between two.
You are responsible for what happens under your account. Tell us at once if you think someone else has reached it.
Verification, and what it does and does not mean
We send the notices these terms promise by email, to the address on your account. If you made your account with a phone number and have not added an email address, we cannot send them to you, so your dashboard asks you to add one. Reminders and receipts for your membership payments come from our payment provider, to the email address you give when you pay.
Before an account can trade we verify identity, and for a company its registration and its directors. Growers verify the farms they grow on and their right to use that land. Buyers verify their company and the person acting for it.
Verification means we have seen documents and found them consistent. It is NOT a guarantee of anyone's honesty, solvency or ability to perform a deal, and it is not a credit check. Buyers and sellers should still exercise their own judgement.
We may refuse a verification. If we do, we will tell you which requirement is not met, so you can correct it and be checked again.
An account that stops meeting the requirements — an expired document, a refused proof, a director list that no longer matches — goes back to review and stops being visible to buyers until it is settled. We will tell you when that happens and why. It becomes visible again on its own once it is fixed.
How growers are matched to buyers, and how listings are ranked
When a buyer posts a request, it is shown to growers whose listings could fill it, ranked for each grower by how well it fits. The main things that decide whether a request is shown to you, and how high, in order of weight:
First, whether the produce matches — the commodity itself counts for most, then the variety. Second, whether you can supply the quantity asked for in the month it is wanted, taken from the month-by-month plan on your listing. Third, where you are, against any origin the buyer asked for. Fourth, your indicative price against the buyer's target.
Only live, verified accounts appear at all, and only published listings.
We do not accept payment for a higher position. No grower can pay to be shortlisted, and paying more for membership does not affect ranking.
Growers can then offer against the request. Our trade desk checks each offer against the request and shortlists or declines it; a grower is told either way. That is a human judgement about a specific request; it is not automated.
If we change how matching works in a way that changes these parameters, we will update this section.
Membership and payment
Buyers use the platform free of charge.
A grower holds one seller account, with or without a company mapped to it.
Growers pay a yearly membership in tiers. Each tier lets you list produce up to a set worth in a billing year: the worth of a listing is its expected yearly quantity multiplied by your price per kg, added up over the listings you submit in that year. The tiers and their prices are shown inside your account before you pay. Prices are shown in US dollars and charged in your local currency. You will always see the amount before you are charged.
To list more than your tier allows, you move to a higher tier and pay the difference for the rest of your billing year at once; your renewal date does not change. When your membership renews, your listings that are still live count first towards the new year. Archiving a listing or lowering its worth does not give allowance back.
Membership buys access to the marketplace. It does not buy a sale, a shortlisting or a position in any ranking, and it is not refundable because no deal came of it.
You may cancel at any time. Cancelling stops the next renewal; it does not refund the period you are in unless the law requires it. We will remind you before each renewal, and if a payment fails we will tell you and give you a chance to fix it before access changes.
What you upload, and what you must not do
You keep ownership of what you upload. You give us the licence we need to run the platform and to show your listings to verified counterparties — nothing wider.
Do not list produce you do not have or cannot supply, and do not overstate a volume, a grade or a certification. The whole marketplace rests on those figures being true.
Do not use documents that are not yours, or that have been altered.
Do not take a deal our desk introduced off the platform to avoid fees.
Do not attempt to reach another account, or any part of the platform you have not been given access to, and do not scrape it.
Suspending or closing an account
You may close your account at any time.
We may restrict, suspend or close an account that breaks these terms. We will tell you which term and why, so you can answer it.
Where we close an account we will give at least 30 days' notice — except where the reason is illegality, fraud, a repeated breach after warning, malware, or a risk to someone's safety, when it may be immediate.
Closing an account does not erase the record of deals already made through it. The privacy policy says what is kept and for how long.
Changes to these terms
We will give at least 15 days' notice before a change takes effect, and longer where the change needs you to do something technical.
If you do not accept a change you may close your account before it takes effect.
We will not apply a change retrospectively to a deal already agreed.
Our liability
We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.
Beyond that, and because we are not a party to the sale: we are not liable for the quality, safety, legality or delivery of produce, for a buyer's failure to pay, for a seller's failure to supply, or for loss of profit or of an expected deal.
You indemnify us against claims arising from your breach of these terms or from your dealings with another user.
Complaints
If something has gone wrong, tell us. Write to contact@fieldtoport.com, or by post to FIELD TO PORT LIMITED, 83 Granville Road, Northwich, CW9 8EU, United Kingdom, and we will look at it and answer you.
Law and jurisdiction
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
